In these "Terms Of Sale" the following words shall have the following meanings:
"Customer" means the organisation or person who buys Goods;
"Goods" means the item(s) to be supplied to the Customer by the Seller;
"Intellectual Property Rights" means all patents, registered and unregistered designs, copyright, trade marks, know-how and all other forms of intellectual property wherever in the world enforceable;

These Terms and Conditions shall apply to sales of Goods by the Seller to the Customer to the exclusion of all other terms and conditions referred to, offered or relied on by the Customer whether in negotiation or at any stage in the dealings between the parties, including any standard or printed terms tendered by the Customer, unless the Customer specifically states in writing or by email, separately from such terms, that it wishes such terms to apply and this has been acknowledged by the Seller in writing, or by email. Any variation to these Terms and Conditions (including any special terms and conditions agreed between the parties) shall be inapplicable unless agreed in writing, or by email by the Seller.

Any data you provide to us is held by SixTop Limited on their Secure Web Server using SSL technology - SixTop Ltd. trade as "Red Elbows-Outdoor Country Clothing". You may be aware that, from late May 2018, new regulations control the use of your personal information. We only use the information that you provide to us for two purposes:
1. To process the order you have made with us. During order entry you provide us with:
a) Your name & the name of somebody to sign for the goods at the Delivery Address
b) Your Billing & Delivery Address
c) Your Billing & Delivery Post Code
d) Your Email Address & a Delivery Email Address
e) A contact Telephone Number

We pass on this delivery & billing contact information to the appropriate factory for the goods to be dispatched and also to WorldPay who clear you card or Paypal payment. You only provide Credit Card / Debit Card or PayPal details to WorldPay through their Secure Payment Pages so that they may take payment for the goods. We NEVER see your payment information.

2. We may very occasionally email you to advise you of any new products, or any special or seasonal offers that we may have.

For United Kingdom accounting purposes, we are obliged to retain your order data (including your personal data as described above) for a period of 6 years+, after which it will be archived on our secure server. The details of your order are held on our Secure Server in a web file that reflects your Order Confirmation / Invoice in it's entirety, it is stored in a protected web directory using a key that is constructed from a unique random number combined with your online order number. This Order Confirmation / Invoice Number only has meaning to us, our shopping cart system and you (it is given to you at order entry time), to everybody else it is unknown and meaningless.

Price and Payment
The price of the Goods shall be the price shown on the Seller's web site ( at the time of purchase by the Customer, unless otherwise agreed in writing, or by email between the parties. The price is inclusive of UK VAT where appropriate. There will be a £5 delivery charge per order.
Payment is collected in a secure environment by WorldPay on our behalf and we only accept on-line payment through that process - for security reasons, we regret that we cannot clear payment manually (or on the telephone) on your behalf, nor do we accept cheques or cash. To discourage internet fraud, it is our policy to deduct the money due (for both goods & delivery charges) from your credit / debit card (or PayPal Account) at time of order (not when we despatch the goods) and only paid orders will be delivered. Any images shown on our web site are for information only and colours may vary slightly.
Whilst we endeavour to provide as accurate information as is possible, for the avoidance of doubt, the Customer hereby affirms that it does not in any way rely on any web site description or web site image when entering into the contract.

Unless otherwise agreed in writing, delivery of the Goods shall take place at the address specified by the Customer on, or as close as possible to the date required by the Customer. The Customer shall make all arrangements necessary to take delivery of the Goods whenever they are tendered for delivery and all goods must be signed for upon delivery.
If the Seller is unable to deliver the Goods because of actions or circumstances beyond their control, or any actions or circumstances under the control of the Customer, then the Seller shall be entitled to place the Goods in storage until such time as delivery may be effected and the Customer shall be liable for any expense associated with such storage.
Any damages, shortages, over deliveries and duplicated orders should be reported to the Seller within 14 days of signed receipt to enable replacement or refund.

Risk & Title
Risk and Title in the Goods shall pass to the Customer upon signed receipt for the goods.

Limitation Of Liability
The Seller shall UNDER NO CIRCUMSTANCES be liable for any loss or damage suffered by the Customer in excess of the contract price. The Customer hereby acknowledges that our warranty is entirely limited to the Manufacturer's Warranty.

Intellectual Property Rights
All Intellectual Property Rights produced from or arising as a result of the performance of this Agreement shall, so far as not already vested, become the absolute property of the Seller and the Customer shall do all that is reasonably necessary to ensure that such rights vest in the aforesaid by the execution of appropriate instruments or the making of agreements with third parties.

Force Majeure
The Seller shall not be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire, breakdown of plant or machinery, shortage of stock, or shortage or unavailability of raw materials from a natural source of supply, and the Seller shall be entitled to a reasonable extension of its obligations. If the delay persists for such time as the Seller considers unreasonable, it may, without liability on its part, terminate the contract.

Relationship Of The Parties
Nothing contained in these Terms and Conditions shall be construed as establishing or implying any partnership or joint venture between the parties and nothing in these Terms and Conditions shall be deemed to construe either of the parties as the agent of the other.

Assignment And Sub-Contracting
The contract between the Customer and Seller for the sale of Goods shall not be assigned or transferred, nor the performance of any obligation sub-contracted, in either case by the Customer, without the prior written consent of the Seller.

The failure by either party to enforce at any time or for any period any one or more of the Terms and Conditions herein shall not be a waiver of them or of the right at any time subsequently to enforce all Terms and Conditions of this Agreement.

If any term or provision of these Terms and Conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these Terms and Conditions had been agreed with the invalid, illegal or unenforceable provision eliminated.

Governing Law And Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of England and the parties hereby submit to the exclusive jurisdiction of the English courts.
